Investment Memorandum | Preliminary IC Review | September 2026

Classification: Technology / Semiconductors

Investment archetype: Cash-generative mixed-signal franchise + customer-concentration discount + diversification optionality

Reference price: $118.80

Market capitalization: ~$5.95B

Enterprise value: ~$5.28B

Research status: Deep-dive candidate; thesis hinges on diversification beyond Apple

1. Executive Summary

Cirrus Logic is a fabless mixed-signal semiconductor company with an unusually profitable core franchise and an unusually concentrated customer base. FY2026 revenue reached a record approximately $2.0 billion, up 5% year over year, with GAAP operating margin of 23.0% and GAAP EPS of $7.85. In fiscal Q1 2027, revenue reached a record first-quarter $459.7 million and GAAP EPS was $1.47. Management guided fiscal Q2 revenue to $510-$570 million. [1][2]

The BlackWillow screen shows a high-quality cash generator rather than a hypergrowth semiconductor. Revenue growth was ~5.3% in the latest fiscal year and three-year revenue CAGR only ~1.7%, but EPS grew ~30.8%, operating cash flow ~46.4% and FCF ~53.0%. Gross margin is ~52.8%, operating margin ~23.0%, ROIC ~18.0%, and FCF yield ~7.6%. At the reference price, CRUS trades around 13.3x forward earnings and 10.1x EV/EBITDA with roughly $761 million of net cash in the market-data snapshot.

The discount is not mysterious. Apple represented approximately 91% of FY2026 net sales, up from 89% in FY2025 and 87% in FY2024. No other customer exceeded 10%. That concentration deserves a material risk premium. The investment case therefore depends on whether Cirrus can preserve its high-value content in flagship smartphones while converting its mixed-signal IP into meaningful revenue across PCs, power, battery, camera control, 3D sensing and general-market applications. [3]

The most interesting feature of CRUS is the asymmetry between the current valuation and the potential diversification path. The market does not appear to price the company like a broad semiconductor platform. If diversification remains small, the discount may be appropriate. If even one or two new verticals become meaningful while Apple revenue remains stable, the earnings duration and appropriate multiple could change materially.

2. Why CRUS Emerged From BlackWillow

BlackWillow dimension Score / reading
Fundamental score 68.2
Fundamental coverage 97.7%
Growth, industry-relative 49.1
Profitability, industry-relative 72.5
Capital efficiency, industry-relative 92.3
Cash quality, industry-relative 69.2
Balance sheet, industry-relative 63.7
Capital allocation, industry-relative 76.9
Recent trend, industry-relative 48.7
Valuation score 67.1
Momentum score 22.2
Final quantitative score 61.7

This is almost the opposite of a momentum-driven semiconductor screen. Growth and recent-trend percentiles are ordinary, momentum is weak, but capital efficiency, cash generation, valuation and balance-sheet quality are strong. CRUS therefore surfaced because the market price embeds skepticism despite robust underlying economics.

3. Business Model

Cirrus Logic designs low-power, high-precision mixed-signal semiconductors. It reports one operating segment but disaggregates revenue into Audio and High-Performance Mixed-Signal (HPMS) products. FY2026 Audio revenue was approximately $1.16 billion, up 2%, while HPMS revenue was $837.4 million, up 10%. HPMS has therefore been the faster-growing part of the portfolio. [4]

The company is fabless. Wafer fabrication and assembly/test are outsourced, primarily to GlobalFoundries and TSMC. This preserves an asset-light return profile but creates supply-chain dependence and capacity-management risk. Cirrus has historically secured capacity through contractual arrangements, including a GlobalFoundries reservation agreement extending through calendar 2026. [3]

4. The Core Franchise: Smartphone Audio and HPMS

Cirrus has built deep mixed-signal expertise around smart codecs, boosted amplifiers, haptics, camera control, power and other custom components used in premium mobile devices. In FY2026, robust demand for a new custom boosted amplifier and 22-nanometer smart codec supported smartphone revenue, while HPMS growth reflected additional custom content. [4]

The economic attraction is not simply unit growth. Semiconductor content can rise even in a mature smartphone market if each device incorporates more Cirrus silicon. The risk is that content gains, design wins and pricing are heavily tied to the product road map of one customer.

5. Customer Concentration: The Central Risk

Fiscal year Largest end customer share of net sales
FY2024 87%
FY2025 89%
FY2026 91%

Apple is not named in every quarter, but the FY2026 10-K explicitly identifies Apple Inc. as the end customer represented by multiple contract manufacturers. This is not ordinary customer concentration. A material design loss, lower device volumes, insourcing, pricing pressure or platform shift at Apple could affect Cirrus disproportionately. [3]

The same concentration also reflects a strength: remaining designed into successive generations of one of the world's most demanding consumer-electronics platforms is evidence of engineering capability and high switching/qualification barriers. The valuation question is how much of that relationship should be capitalized as durable versus discounted as fragile.

6. Diversification: PCs Are the Nearest Test

Management calls the PC market its largest near-term growth opportunity outside smartphones. Cirrus has highlighted customer engagement around its latest smart codec for AI-enabled PCs, and multiple customers have announced systems based on NVIDIA's RTX Spark platform expected to use Cirrus amplifiers and codecs. [1][5]

However, the Q1 FY27 shareholder letter also reduced fiscal-year PC revenue expectations because of constrained supply of a key industry platform, memory/component shortages and OEM delays. That is an important reality check. Diversification is strategically credible, but the revenue ramp is neither linear nor fully within Cirrus' control. [5]

7. Other Expansion Vectors: Power, Battery, Camera and General Market

Cirrus is also developing a next-generation camera controller and a new smart-power IC for 3D sensing, while validating power and battery technologies and expanding general-market analog products. In Q1 FY27, management said it had taped out a new high-performance analog front-end component targeting metrology applications. [1][4]

These projects matter because the current valuation does not require every initiative to succeed. A handful of meaningful design wins could reduce dependence on the largest customer and support a broader mixed-signal platform multiple. The key diligence issue is converting development activity into disclosed revenue contribution rather than treating every tape-out or design engagement as equivalent to commercial scale.

8. Historical Financial Development

Metric BlackWillow standardized reading
Revenue growth YoY 5.3%
Revenue 3y CAGR 1.7%
Gross profit growth 5.8%
Operating income growth 12.2%
EBITDA growth 10.7%
EPS growth 30.8%
EPS 3y CAGR 36.4%
OCF growth 46.4%
FCF growth 53.0%
FCF 3y CAGR 28.0%

The financial pattern is critical. Revenue growth is modest, yet earnings and cash flow have expanded much faster. That reflects mix, gross-margin resilience, operating discipline and share repurchases. CRUS is therefore better understood as a high-return cash compounder with embedded option value than as a conventional secular-growth semiconductor.

9. Profitability and Capital Efficiency

Metric CRUS
Gross margin 52.8%
Operating margin 23.0%
EBITDA margin 27.5%
Net margin 20.7%
OCF margin 32.6%
FCF margin 31.8%
ROIC 18.0%
ROCE 21.7%
ROA 16.6%
ROE 19.5%

These are strong economics for a fabless semiconductor supplier. The combination of a >50% gross margin, low capital intensity and disciplined operating expense produces substantial free cash flow even without high top-line growth.

10. Q1 FY27: Confirmation, With a Diversification Caveat

Q1 FY27 / Q2 outlook metric Result
Q1 revenue $459.7M - record first quarter
GAAP gross margin 52.6%
GAAP EPS $1.47
Non-GAAP EPS $1.84
Q2 revenue guidance $510-$570M
Q2 gross-margin guidance 52%-54%
Q2 GAAP R&D + SG&A $163-$169M
PC outlook Reduced for FY27 due to supply/platform delays

The smartphone core remains healthy, but the reduced PC outlook prevents an overly promotional diversification narrative. We view that as positive for the research process: the thesis can be monitored against identifiable revenue milestones rather than assumed.

11. Balance Sheet and Capital Allocation

At June 27, 2026, Cirrus held approximately $810.7 million of cash and $356.7 million of marketable securities, for more than $1.16 billion of combined cash and investments. The company also carries operating lease liabilities and has access to a revolver, but the economic balance sheet is very strong. [6]

Cirrus returned $280 million through share repurchases in FY2026 and repurchased another $31.5 million in Q1 FY27. The BlackWillow snapshot shows roughly $761 million of net cash because market-data debt definitions can include lease-related obligations; company reporting emphasizes a large cash/investment balance and no conventional funded debt. [7][6]

Buybacks are particularly relevant for a company with slow revenue growth. If shares are repurchased below intrinsic value, per-share earnings can compound faster than the business. If the market is correctly discounting structural concentration risk, aggressive repurchases can instead reduce flexibility without solving the core issue. Capital allocation should therefore be evaluated together with diversification progress.

12. Variant Perception

Conventional perception: an Apple supplier with mature smartphone exposure and a valuation discount that is justified by customer concentration.

BlackWillow variant: a high-margin mixed-signal design franchise whose Apple relationship funds R&D, buybacks and balance-sheet strength while the company seeds multiple adjacent platforms. At ~13x forward earnings, investors may receive diversification optionality without paying a premium semiconductor multiple.

The variant is falsifiable. If non-smartphone revenue remains immaterial over the next several product cycles, the stock should continue to trade as a concentrated supplier. If PC, power, battery, camera or general-market revenue becomes meaningful, the appropriate duration and multiple could be structurally higher.

13. Competitive Position

Deep mixed-signal and audio engineering expertise built around demanding mobile applications.

Long qualification cycles and integration with flagship-device architectures create switching friction.

Fabless model supports high returns on capital but leaves manufacturing dependent on external foundries.

Large-customer bargaining power is significant and limits pricing independence.

Adjacent analog and mixed-signal markets are highly competitive, so diversification requires repeated design-win execution rather than technology alone.

14. Valuation

Metric CRUS
Reference price $118.80
Market cap $5.95B
Enterprise value $5.28B
Trailing P/E 14.5x
Forward P/E 13.3x
P/B 2.7x
P/S 2.9x
EV/EBITDA 10.1x
EV/Revenue 2.6x
FCF yield 7.6%
OCF yield 10.1%
Net cash / market cap 12.8%

The valuation is the strongest part of the thesis. These multiples are materially below many high-quality semiconductor franchises despite strong margins and capital efficiency. The discount is appropriate only if customer concentration materially shortens the durability of the cash flows or if diversification fails to create a second growth engine.

15. Scenario Framework

Scenario Normalized EPS P/E Illustrative value Approx. return vs $118.80
Bear $7.50 12x $90 -24%
Base $9.50 16x $152 +28%
Bull $11.00 20x $220 +85%

These are BlackWillow scenario assumptions, not company guidance or price targets. The bear case assumes weaker Apple content/device demand and little diversification credit. The base case assumes the smartphone franchise remains resilient, PC/HPMS expansion contributes incremental growth and buybacks support per-share earnings. The bull case requires evidence that multiple non-smartphone categories are becoming durable revenue engines, justifying a broader mixed-signal platform multiple.

16. Catalysts

Fiscal Q2 FY27 revenue within or above the $510-$570M guidance range.

Evidence that AI-PC design wins convert into material shipments after current platform/component delays.

Additional disclosed wins in camera control, power, battery or 3D sensing.

HPMS continuing to grow faster than the audio franchise.

Continued share repurchases while maintaining a large net-cash position.

Any measurable decline in the largest-customer revenue share without sacrificing total earnings.

17. Principal Risks

Risk Probability Impact What to monitor
Apple concentration / design loss Medium Very High customer share, content wins
Smartphone unit weakness Medium High premium handset volumes
Diversification ramps slower than expected Medium/High High PC and general-market revenue
Foundry / supply constraints Medium Medium/High inventory, lead times, reservations
R&D rises faster than new revenue Medium Medium opex and design-win conversion
Analog / mixed-signal competition Medium High pricing, socket wins
Multiple remains structurally discounted Medium Medium customer concentration trend

18. Thesis Breakers

Largest-customer concentration remains near 90% for several more years while non-smartphone initiatives remain immaterial.

A major smartphone design loss materially reduces revenue or gross margin.

FCF conversion deteriorates despite stable revenue, suggesting the quality of earnings is weakening.

PC and adjacent-market programs repeatedly slip without offsetting design wins.

R&D growth materially outruns revenue growth without evidence of future commercial returns.

Management uses the balance sheet for value-destructive acquisitions or repurchases shares at materially higher multiples without improved diversification.

19. Market Confirmation

At the BlackWillow reference point, CRUS traded approximately 3.0% below its 50-day average, 15.1% below its 200-day average and about 34.2% below its 52-week high. Momentum scored only ~22/100 despite solid operating performance. That divergence is precisely why the name is interesting: the screen is not simply extrapolating a strong chart. Average daily dollar volume of roughly $97 million provides solid institutional liquidity.

20. BlackWillow View

What we like What concerns us
Strong margins and cash conversion 91% FY2026 exposure to one end customer
Low forward valuation for semiconductor quality Revenue growth is modest on a multi-year basis
Large cash/investment balance Diversification has been discussed longer than it has been financially visible
Consistent share repurchases PC ramp has already faced supply/platform delays
HPMS growing faster than Audio External foundry dependence and platform-cycle risk
Potential upside from PCs, power, camera and general-market analog Customer concentration may deserve a permanently lower multiple

Preliminary research conclusion: CRUS is a stronger research idea than its weak price momentum suggests. The core franchise is exceptionally cash-generative, and the valuation is not demanding. The report should not hide the fact that 91% customer concentration is severe. The investment case is attractive precisely because the risk is explicit and measurable: diversification must become visible in revenue, not merely in product announcements.
